PRIDE Seeds 75th Anniversary Sweepstakes Official Rules

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR TO WIN. A PURCHASE DOES NOT INCREASE OR IMPROVE YOUR CHANCES OF WINNING.

  1. PROMOTION DESCRIPTION: This PRIDE Seeds 75th Anniversary Sweepstakes (“Sweepstakes”) is open to certain individuals who attend an Eligible Event (defined below) and complete an entry ballot (“Ballot”), as further identified in Sections 3 and 4 below. Entry to the Sweepstakes begins on January 16, 2024 at the first Eligible Event and ends on November 30, 2024 at the final Eligible Event (“Promotion Period”), after which time the Sweepstakes will be closed and no further Ballots will be accepted. There will be one (1) potential winner of the Sweepstakes, to be determined by random drawing from among all eligible Ballots received during the Promotion Period.
  2. SPONSOR: The Sweepstakes is sponsored by AgReliant Genetics Inc. d/b/a PRIDE Seeds, 6839 Pain Court Line, Pain Court, ON N0P 1Z0 Canada (“Sponsor”). The Sweepstakes will be administered by Sponsor and certain of its designees.
  3. ELIGIBILITY: This Sweepstakes is open to (i) legal residents of Canada; (ii) who are at least eighteen (18) years of age or older (except in the case of legal residents of certain provinces or territories where the legal age of majority is greater than eighteen (18) years of age, such legal age of majority) at the time of entry; (iii) who attend one of the below eligible events (each, an “Eligible Event”); and (iv) speak with a PRIDE Seeds representative at such Eligible Event and complete a Ballot (“Entrants”). One Ballot per farm and/or grower license. Employees of Sponsor and their respective immediate and second-generation family members, and those living in the same household of each, and any family members of an employee of Sponsor tied to or working under the same farm name as the employee, as well as any employees of Sponsor’s parent companies, related, or affiliated companies, are not eligible to participate in the Sweepstakes. By participating in the Sweepstakes, Entrants acknowledge compliance with, and agree to be bound by, these Official Rules. Entrants who do not comply with any of these Official Rules are subject to disqualification by Sponsor, in Sponsor’s sole discretion.

  4. HOW TO ENTER: To enter the Sweepstakes, Entrants must attend an Eligible Event, locate a PRIDE Seeds booth or representative, and complete a Ballot. Any attempt or suspected attempt to use illicit means to enter the Sweepstakes, or any other methods not authorized by these Official Rules, for example, but not limited to, creating multiple identities or registrations, all in the Sponsor’s sole discretion, shall be deemed as tampering and may disqualify an Entrant from entering, participating, and/or winning the Prize. Ballots that contain false or incomplete information are void. Ballots that are late, lost, stolen, illegible, contain false information, are damaged, misdirected, mutilated, garbled or incomplete, altered or otherwise irregular or that do not conform with or satisfy any or all of the conditions of these Official Rules are void. Entrants grant Sponsor a non-exclusive license to use all Ballots for any purpose. No correspondence will be entered into except with selected Entrants.
  5. RANDOM DRAWING: On or around ­­­­­­­December 31, 2024, one (1) potential winner will be selected at random from among all eligible Ballots received during the Promotion Period by Sponsor or its designee. Subject to verification of eligibility and compliance with these Official Rules, the potential winner will be declared the official winner of the Sweepstakes (“Winner”). The odds of winning depend on the number of eligible Ballots received before the end of the Promotion Period.
  6. SKILL-TESTING QUESTION: Winner will be required, as a condition of winning a prize, to correctly answer, without the assistance of any kind, Sponsor’s time-limited, mathematical skill-testing question to be administered by Ballot entry.
  7. WINNER NOTIFICATION: The potential winner will be notified by Sponsor within ten (10) business days following the Sweepstakes draw. Up to two (2) attempts will be made to contact the potential winner within fifteen (15) business days following the Sweepstakes draw. Sponsor shall have no liability for any winner notification that is lost, intercepted, or not received by a potential winner for any reason. If a potential winner does not respond within forty-eight (48) hours of the first notification attempt or is found to be ineligible, if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, if the potential winner does not comply with these Official Rules or submit required documents on the timeline specified by Sponsor, or if the potential winner declines the prize for any reason, such potential winner will forfeit his or her prize and an alternate potential winner may be selected by random drawing from among all remaining eligible Ballots, in Sponsor’s sole discretion.
  8. PRIZE/APPROXIMATE RETAIL VALUE (“ARV”): One (1) Winner will receive PRIDE® Seeds branded hybrid corn seed up to an ARV of $75,000 CAD, along with a consultation with a PRIDE Seeds agronomist to assist with the selection of such hybrid corn seed (“Prize”). The Prize is not redeemable for cash and may be applied over multiple years. Sponsor reserves the right to substitute any selected hybrid corn seed for the Prize as needed at equal value. The Prize will not be replaced if lost or stolen. No assignment, transfer, or substitution of the Prize (or any portion thereof) will be permitted, except at Sponsor’s sole discretion. A Winner may not designate someone else as the winner. Sponsor is not responsible for the inability of any Winner to accept the Prize for any reason. All expenses associated with the receipt and use of the Prize and not specified herein as being provided, including but not limited to applicable taxes, are the sole responsibility of the Winner. The Winner assumes any and all liability for any injury or damage caused, or claimed to be caused, by entering and/or participating in the Sweepstakes or the use or redemption of the Prize. Upon acceptance of the Prize, Winner and Sponsor will work together to identify the hybrid corn seed and delivery dates. If the full ARV of the Prize is not utilized within the first applicable growing season, the remaining value of the Prize may be used over the span of four additional growing seasons, after which the Prize value will expire.
  9. : Winners agree to release, discharge, and hold harmless Sponsor, its parent companies, related and affiliated companies, subsidiaries, advertising and promotional agencies, counsel, marketing partners, and Social Media Platforms and each of their respective directors, officers, employees, shareholders, successors, sponsors, partners, licensees, subsidiaries, agents, artists, advisors, assignees, and all others associated with the administration, development, and execution of the Sweepstakes (“Released Parties”) from and against any and all manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize and the use of entries by Sponsor, suit, debt, covenant, contract, including legal fees and expenses, whatsoever, including but not limited to, claims based on (i) negligence, breach of contract, and/or fundamental breach, (ii) the failure of any third-party contractor or supplier used in connection with any aspect of the Sweepstakes to perform or deliver any goods or services, (iii) any act of God or any other event beyond the Released Parties’ control, (iv) any dissatisfaction of any kind by a Winner with any aspect of the Sweepstakes or any prize or (v) liability for physical injury, death, or property damage which the Entrants, guests, their heirs, successors or assigns have, might have or could have suffered, by reason of or arising out of the Entrant’s participation in the Sweepstakes and/or in connection with the acceptance and/or exercise by the Entrant of prizes as awarded. Winners shall further indemnify the Released Parties against any loss, damage, or expense, including legal fees, that any of the Released Parties may suffer or incur as a result of any non-compliance by the Entrant with these Official Rules or participation in the Sweepstakes and/or in connection with the acceptance and/or exercise by an entrant of a prize, and the use of entries by Sponsor.
  10. LIMITATION OF LIABILITY: Sponsor is not responsible for and will not have any liability whatsoever for: (i) incorrect or inaccurate entry information that may affect a person’s ability to participate in the Sweepstakes or be awarded the Prize, including but not limited to human error, technical malfunctions, lost, or delayed entries for any reason, mail failures, omission, or any combination thereof, and entries that fail to fully comply with these Official Rules; (ii) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (iii) lost, incomplete, delayed, mutilated or misdirected Ballots or Winner release documents; (iv) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize (or portion thereof), and the use of Ballots by Sponsor; (v) the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third-party computer hackers or otherwise; or (vi) late, lost, misdirected or unsuccessful efforts to notify a potential winner. Winner acknowledges that neither Sponsor nor its agents or designees have made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including, but not limited to, its quality, condition, or fitness for a particular purpose. Any and all warranties and/or guarantees on a prize, if any, are subject to PRIDE Seeds’ Terms and Conditions of Sale and the Winner agrees to look solely to such Terms and Conditions of Sale for any such warranty and/or guarantee and to comply with such Terms and Conditions of Sale. Winner further agrees to read and follow IRM, where applicable, grain marketing and all other stewardship practices and pesticide label directions related to the Prize.
  11. By participating in the Sweepstakes, Entrants agree to be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all respects. Sponsor is not responsible for any typographical or other error in the printing of the offer or in administration of the Sweepstakes. The invalidity or unenforceability of any provision of the terms and conditions of these Official Rules and/or any other documentation will not affect the validity or enforceability of any other provision. In the event that any provision of these Official Rules and/or any other documentation are determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrant agrees to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to effect in any manner the meaning or intent of the documents or any provision hereof.
  12. PUBLICITY AND ENTRANT INFORMATION: Each potential winner may be required to sign and return an Affidavit of Eligibility/Liability Release and, where permitted by law, Publicity Release within two (2) days after Sponsor’s first winner notification attempt, subject to all federal, state, local, territory, and province laws/regulations. By participating in the Sweepstakes, Entrants consent to the use of their name, farm, address, email address, and phone number by Sponsor, and its agents and designees, for marketing purposes.
  13. GOVERNING LAW: The Sweepstakes is void where prohibited by law and is subject to all applicable Canadian federal, provincial, territorial, municipal, and local laws. The Sweepstakes shall be governed exclusively by the laws of the province of Ontario, including all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, rights and obligations between Entrants and Sponsor, and procedural provisions, without giving effect to any choice of law or conflict of law rules. Any dispute shall be adjudicated by the courts sitting in Pain Court, Ontario.
  14. AMENDMENTS: Sponsor reserves the right to terminate or amend the Sweepstakes at any time and in any way, without prior notice to Entrants. Without limiting the foregoing, if, for any reason, the Sweepstakes is not capable of running as originally planned for any reason, Sponsor reserves the right to cancel the Sweepstakes and conduct a random draw from all previously received eligible Ballots received by the end of the Promotion Period.
  15. PRIVACY: All information submitted online by Entrants is subject to, and will be treated in a manner consistent with, Sponsor’s Privacy Policy accessible at https://www.prideseeds.com/privacy-policy.

PRIDE Seeds Terms and Conditions of Sale

SUPPLY & PRICE

PRIDE Seeds reserves the right to substitute product at its discretion for any reason, including but not limited to crop or product shortages. If the buyer rejects the substitute product, the buyer’s sole and exclusive remedy shall be the cancellation of its order. Prices and hybrids are subject to change at any time. The price shall be the price set out in PRIDE Seeds’ current published price list for the upcoming crop year, less any applicable programs or discounts offered in writing by PRIDE Seeds.  Programs and discounts may be modified from time to time without prior notice.

AGRONOMIC ZONE AND PLANTING YEAR

By purchasing seed products of PRIDE Seeds, the buyer understands that such products are for planting in the year of the purchase and that PRIDE SEEDS has the obligation to pay royalties to trait providers for the products containing specific traits based on each grower’s agronomic zone. Buyer agrees to report the agronomic zone of each grower who will plant such traited products (including that of the buyer if he is a grower) to PRIDE Seeds. Such agronomic zones are defined and assigned by each of the trait providers at their sole discretion, and may be different from one provider to another. At any time, should PRIDE Seeds become aware that the seed product was invoiced for an in- correct agronomic zone or planting year, PRIDE Seeds will adjust the invoice to reflect the correct price. In such event, either PRIDE Seeds will promptly issue a refund, or the buyer will pay the corrected amount remaining owed to PRIDE Seeds.

LIMITATION OF WARRANTY AND REMEDY

PRIDE Seeds warrants that the Seeds in the container are as described on the tag, subject to tolerances established by law. THE FOREGOING EXPRESS WARRANTY EXCLUDES ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY AND THE WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE AND IS VOID IF THE SEED PRODUCT IS SOLD TO BUYER BY AN UNAUTHORIZED SELLER.  THERE ARE NO OTHER WARRANTIES WHICH EXTEND BEYOND THE DESCRIPTION THEREON. PRIDE SEEDS does not warrant that conventional seed produced or sold by PRIDE SEEDS is free of genetically modified organisms (“GMO”), nor does PRIDE Seeds warrant that genetically modified seed produced or sold by PRIDE Seeds is free of unintentional GMO for any reason, (including but not limited to adventitious pollen contamination due to pollen drift caused by wind and/or insects). PRIDE Seeds specifically disclaims any warranty as to complete freedom of GMO for conventional seed produced or sold by PRIDE Seeds and PRIDE Seeds specifically disclaims any warranty as to complete freedom of unintentional GMO for genetically modified seed produced or sold by PRIDE Seeds.  By acceptance and use of the seed, buyer agrees that PRIDE Seeds’ liability and the buyer’s exclusive remedy for breach of any warranty or other reason (if any) shall be limited, in all events, to a return of the purchase price of the affected seed, and in no event shall PRIDE SEEDS be liable for any indirect, special, incidental or consequential damages (including damages for loss of business, loss of profits, or any similar loss) whether based on breach of contract, breach of warranty, tort (including negligence), product liability, or otherwise, even if advised of the possibility of such damages. All claims must be presented within a reasonable period of time and not later than thirty (30) days after discovery. Crop yields and quality are influenced by many causes and conditions beyond PRIDE Seed’s control that PRIDE Seeds does not warrant yield or quality. Further, any recommendations given for selection or use of PRIDE Seed’s products are based upon PRIDE Seed’s best knowledge and for informational purposes only, and PRIDE Seeds does not warrant the results to be obtained with such recommendations. Unless accepted on the foregoing terms, buyer shall return the seed in the original unopened container within 15 days of purchase for a refund of the purchase price.

SECURITY INTEREST

PRIDE Seeds reserves, and the buyer grants to PRIDE Seeds, a security interest in any and all delivered products in the inventory of the buyer and in all accounts receivable of the buyer arising from the sale of the PRIDE Seeds products, until full payment to PRIDE Seeds. Buyer agrees to execute such documents as PRIDE Seeds may request in order to perfect PRIDE Seed’s security interest.

RIGHT TO OFFSET

PRIDE Seeds and buyer agree that any overpayment (i.e., credit balance) made during the planting year will automatically rollover to the following year as an advance payment against subsequent purchases unless buyer notifies PRIDE Seeds that it would like a refund within 30 days after settlement. If buyer does send such notification, PRIDE Seeds will issue a refund check to buyer as soon as practicable after June 30. This does not limit the buyer’s ability to specifically request a refund of an overpayment at any time. Note that payment of an early refund may impact other items, including early payment discounts and credits or qualification for various other programs or discounts offered by PRIDE Seeds. Notwithstanding the above, the buyer acknowledges and agrees that PRIDE Seeds may, in its sole discretion, apply any credit balance or payment that PRIDE Seeds receives from the buyer (directly or from a third party for the buyer’s account) to any past-due account that the buyer may have with AgReliant Genetics Inc. A late payment charge of 1.5% per month (18% per annum), or the maximum lower rate allowed by law, will be added to all accounts not paid in full by the due date of payment, and for each month thereafter on the unpaid amount until paid in full.  The buyer also agrees to bear any and all expenses related to the collection of any accounts deemed past due by PRIDE Seeds, including without limitation attorney fees and court costs. 

IMPORTANT NOTICE: USE RESTRICTIONS

Sale of this seed is allowed only in the Canada and through PRIDE Seeds’ authorized dealers and distributors and buyer may not re-sell the seed unless otherwise agreed to in writing by PRIDE Seeds. One or more of the parental lines used to produce this seed is/are proprietary to or licensed to PRIDE Seeds. Further, the traits and technology contained within this seed, as well as the parental lines and progeny, are covered by intellectual property protection, which may include plant variety certificates, trade secrets and patents which may include, but are not limited to, patented germplasm, transgenic traits, native traits, transformation technologies, methods of use and breeding methods. PRIDE Seeds grants to buyer a limited, non-exclusive, non-transferable right to use the seed for the sole purpose of growing a single commercial crop for the production of grain or forage for feeding or processing. Farm-seed saving is strictly forbidden and shall constitute a misappropriation of third party’s intellectual property, and therefore a breach of their legitimate rights and damage to said third party’s legitimate expectation of future sales. The purchase/bailment/transfer of this seed conveys no right under any intellectual property to use the seed for any purpose. Buyer agrees that it is not acquiring any rights to use the seed or any parental line(s) that may be unintentionally contained herein for any purpose other than the growing of a single commercial crop for the production of grain or forage for feeding or processing. Buyer shall not reproduce or transfer said seed or parental line(s), nor subject them (nor their pollen or any other plant part) to any breeding, research, field or laboratory analysis, development, biotechnology process, or any other variety improvement purposes or genetic manipulation techniques, including (but not limited to) tissue culture, genetic fingerprinting or transformation techniques, sequencing, use of molecular markers or mutagenesis.  The parental line(s) may also be protected under trade secret laws. Buyer further agrees that under these trade secret rights, any parental seed and the genetic material contained herein is confidential and must be maintained in confidence. Export of the seed and parental line(s) is prohibited.  Further, the buyer shall ensure that any crop or material produced from this seed shall only be exported to, or used, processed or sold in countries where all necessary regulatory approvals have been granted. FOR TRAITED SEED, ACCEPTANCE OF TRAIT PROVIDERS’ TECHNOLOGY AGREEMENTS IS REQUIRED AS A CONDITION OF SALE AND BUYER AGREES TO COMPLY WITH ALL APPLICABLE PRODUCT USE GUIDES AND GROWER-FOCUSED STEWARDSHIP PRACTICES. Buyer consents to PRIDE Seeds providing to trait providers, or their designees, its contact details for stewardship compliance purposes.

 

PRODUCT USE RESTRICTIONS

ALWAYS READ AND FOLLOW PESTICIDE LABEL DIRECTIONS. It is a violation of federal law to use any pesticide product other than in accordance with its labeling. NOT ALL formulations of dicamba or glyphosate are approved for in-crop use with products with Roundup Ready 2 Xtend® soybeans. NOT ALL formulations of dicamba, glyphosate or glufosinate are approved for in-crop use with products with XtendFlex® Technology. ONLY USE FORMULATIONS THAT ARE SPECIFICALLY LABELED AND APPROVED FOR SUCH USES. ENLIST E3® SOYBEANS contain the Enlist E3 trait that provides crop safety for use of labelled over-the-top applications of glyphosate, glufosinate and 2,4-D herbicides featuring Colex-D® technology when applied according to label directions. SUPPLY & PRICE

PRIDE Seeds reserves the right to substitute product at its discretion for any reason, including but not limited to crop or product shortages. If the buyer rejects the substitute product, the buyer’s sole and exclusive remedy shall be the cancellation of this order. Prices and hybrids indicated on reverse side are subject to change at any time. If no price is listed on the reverse side, the price shall be the price set out in PRIDE Seeds’ current published price list for the upcoming crop year.

 

AGRONOMIC ZONE AND PLANTING YEAR

By purchasing seed products of PRIDE Seeds, the buyer understands that such products are for planting in the year of the purchase and that PRIDE Seeds has the obligation to pay royalties to trait providers for the products containing specific traits based on each grower’s agronomic zone. Buyer agrees to report the agronomic zone of each grower who will plant such traited products (including that of the buyer if he is a grower) to PRIDE Seeds. Such agronomic zones are defined and assigned by each of the trait providers at their sole discretion, and may be different from one provider to another. At any time, should PRIDE Seeds become aware that the seed product was invoiced for an in- correct agronomic zone or planting year, PRIDE Seeds will adjust the invoice to reflect the correct price. In such event, either PRIDE Seeds will promptly issue a refund, or the buyer will pay the corrected amount remaining owed to PRIDE Seeds.

 

LIMITATION OF WARRANTY AND REMEDY

PRIDE Seeds warrants that the seeds in the container are as described on the tag, subject to tolerances established by law. THE FOREGOING EXPRESS WARRANTY EXCLUDES ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY AND THE WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. THERE ARE NO OTHER WARRANTIES WHICH EXTEND BEYOND THE DESCRIPTION THEREON. PRIDE Seeds does not warrant that conventional seed produced or sold by PRIDE Seeds is free of genetically modified organisms (“GMO”), nor does PRIDE Seeds warrant that genetically modified seed produced or sold by PRIDE Seeds is free of unintentional GMO for any reason, (including but not limited to adventitious pollen contamination due to pollen drift caused by wind and/or insects). PRIDE Seeds specifically disclaims any warranty as to complete freedom of GMO for conventional seed produced or sold by PRIDE Seeds and PRIDE Seeds specifically disclaims any warranty as to complete freedom of unintentional GMO for genetically modified seed produced or sold by PRIDE Seeds. By acceptance and use of the seed, buyer agrees that PRIDE Seeds' liability and the buyer’s exclusive remedy for breach of any warranty or other reason (if any) shall be limited, in all events, to a return of the purchase price of the affected seed, and in no event shall PRIDE Seeds be liable for any indirect, special, incidental or consequential damages (including damages for loss of business, loss of profits, or any similar loss) whether based on breach of contract, breach of warranty, tort (including negligence), product liability, or otherwise, even if advised of the possibility of such damages. All claims must be presented within a reasonable period of time and not later than thirty (30) days after discovery. Crop yields and quality are influenced by many causes and conditions beyond PRIDE Seeds' control that PRIDE Seeds does not warrant yield or quality. Further, any recommendations given for selection or use of PRIDE Seeds' products are based upon PRIDE Seeds' best knowledge and for informational purposes only, and PRIDE Seeds does not warrant the results to be obtained with such recommendations. Unless accepted on the foregoing terms, buyer shall return the seed in the original unopened container within 15 days of purchase for a refund of the purchase price.

 

SECURITY INTEREST

PRIDE Seeds reserves, and the buyer grants to PRIDE Seeds, a security interest in any and all delivered products in the inventory of the buyer and in all accounts receivable of the buyer arising from the sale of the PRIDE Seeds products, until full payment to PRIDE Seeds. Buyer agrees to execute such documents as PRIDE Seeds may request in order to perfect PRIDE Seeds' security interest.

 

CREDIT BALANCE INFORMATION & CREDIT POLICY

The buyer may notify PRIDE Seeds by June 30 that it wishes to apply any overpayment (i.e., credit balance) as an advance payment against subsequent purchases. If the buyer does not send such notification, PRIDE Seeds will issue a refund check to the buyer as soon as practicable after June 30. This does not limit the buyer’s ability to specifically request a refund of an overpayment at any time. Note that payment of an early refund may impact other items, including early payment discounts and credits or qualification for various other programs or discounts offered by PRIDE Seeds. Notwithstanding the above, the buyer acknowledges and agrees that PRIDE Seeds may, in its sole discretion, apply any credit balance or payment that PRIDE Seeds receives from the buyer (directly or from a third party for the buyer’s account) to any past-due account that the buyer may have with PRIDE Seeds. A late payment charge of 1.5% per month (19.56% per annum), or the maximum lower rate allowed by law, will be added to all accounts not paid in full by the due date of payment, and for each month thereafter on the unpaid amount until paid in full. The buyer also agrees to bear any and all expenses related to the collection of any accounts deemed past due by PRIDE Seeds, including without limitation attorney fees and court costs.

 

IMPORTANT NOTICE: USE RESTRICTION

Sale of this seed is allowed only in Canada and through PRIDE Seeds' authorized dealers and distributors. One or more of the parental lines used to produce this seed is proprietary to or licensed to PRIDE Seeds. PRIDE Seeds grants to buyer a limited, non-exclusive, non-transferable right to use the seed for the sole purpose of growing a single commercial crop for the production of grain or forage for feeding or processing. Buyer agrees that it is not acquiring any rights to use the seed or any parental line(s) that may be unintentionally contained herein for any purpose other than the growing of a single commercial crop for the production of grain or forage for feeding or processing. Buyer shall not reproduce or transfer said seed or parental line(s), nor subject them (nor their pollen or any other plant part) to any breeding, research, development, biotechnology process, or any other genetic manipulation techniques, including (but not limited to) tissue culture, genetic fingerprinting or transformation techniques, sequencing, use of molecular markers or mutagenesis. The parental line(s) may also be protected under trade secret laws. Buyer further agrees that under these trade secret rights, any parental seed and the genetic material contained herein is confidential and must be maintained in confidence. Export of the seed and parental line(s) is prohibited. Further, the buyer shall ensure that any crop or material produced from this seed shall only be exported to, or used, processed or sold in countries where all necessary regulatory approvals have been granted. Unless accepted on the foregoing terms, buyer shall return the seed in the original unopened container within 15 days of purchase for a refund of the purchase price.
